1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "User," or "you") and Hamid Ayub ("Consultant," "we," "us," or "our"). By accessing this website, utilizing our consultancy services, or entering into a service agreement with us, you acknowledge that you have read, understood, and agree to be bound by these Terms.

If you do not agree with any of these Terms, you are prohibited from using or accessing this site and engaging our services.

2. Scope of Services

The services provided by Hamid Ayub include, but are not limited to, principal-level engineering leadership, software architecture design, technical advisory, and specialized development in Generative AI and Blockchain technologies.

Specific deliverables, timelines, and payment structures for consultancy engagements will be defined in separate Statements of Work (SOW) or Service Agreements. In the event of a conflict between these Terms and a specific SOW, the terms of the SOW shall prevail regarding that specific engagement.

3. Intellectual Property Rights

Website Content: All content present on this website, including text, graphics, logos, images, audio clips, digital downloads, and data compilations, is the property of Hamid Ayub and is protected by international copyright laws.

Client Deliverables: Upon full payment of agreed fees, intellectual property rights for custom code, architecture diagrams, and technical documentation created specifically for a Client under a paid engagement shall transfer to the Client, unless otherwise specified in the SOW.

Background IP: We retain all rights, title, and interest in our pre-existing intellectual property, methodologies, frameworks, and open-source contributions used to deliver the services.

4. User Conduct & Prohibitions

By using this website, you agree not to:

  • Use the website in any way that causes, or may cause, damage to the website or impairment of the availability or accessibility of the website.
  • Use the website in any way which is unlawful, illegal, fraudulent, or harmful.
  • Conduct any systematic or automated data collection activities (including scraping, data mining, data extraction, and data harvesting) on or in relation to our website without our express written consent.

5. Disclaimer of Warranties

This website and the materials contained herein are provided on an "as is" and "as available" basis. Hamid Ayub makes no representations or warranties of any kind, express or implied, regarding the operation of this site or the information, content, materials, or products included on this site.

For consultancy services, while we commit to performing services with professional care and skill in accordance with industry standards, we do not warrant that the deliverables will be error-free or that specific business outcomes will be achieved, given the complex and evolving nature of technology.

6. Limitation of Liability

To the fullest extent permitted by applicable law, Hamid Ayub shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:

  • Your access to or use of or inability to access or use the website;
  • Any conduct or content of any third party on the services;
  • Any content obtained from the services; and
  • Unauthorized access, use, or alteration of your transmissions or content.

7. Indemnification

You agree to indemnify, defend, and hold harmless Hamid Ayub and our affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns, and employees, harmless from any claim or demand, including reasonable attorneys’ fees, made by any third-party due to or arising out of your breach of these Terms or the documents they incorporate by reference, or your violation of any law or the rights of a third-party.

8. Dispute Resolution

Any dispute arising out of or in connection with these Terms, including any question regarding their existence, validity, or termination, shall be subject to the exclusive jurisdiction of the courts of Pakistan. We encourage amicable resolution through mediation before resorting to litigation.

9. Modifications to Terms

We reserve the right, at our sole discretion, to replace or modify these Terms at any time. For material changes, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

Who owns the code produced during a consultancy engagement?

Typically, once the project is fully paid for, the rights to the custom code written specifically for your project transfer to you. We retain rights to our underlying tools, frameworks, and pre-existing knowledge. Specific details are always outlined in the Statement of Work (SOW).

What happens if the project scope changes?

We operate with agile principles but respect contractual boundaries. Minor adjustments are often accommodated. Significant changes to scope will require a Change Order or a new SOW to ensure fair compensation and timeline adjustments.

Do you offer post-project support?

Yes. We offer retainer agreements for ongoing support, maintenance, and advisory services after the primary deliverables are complete. This is separate from the initial project warranty period.
